Preventing Corruption Compliance Framework
The following information applies to researchers employed at Heidelberg University who also engage in self-employed, freelance, or entrepreneurial activities. It is intended to raise awareness of potential conflicts of interest as a preventive measure. The four golden compliance principles – separation, transparency, documentation, and equivalence – provide a reliable framework for these activities. Special attention should be paid to the business relationships between spin-off founders and Heidelberg University.
When spinning off a business, the four golden compliance principles must be considered:
Separation Principle
Formal and substantive separation of the secondary employment from official duties (Notice of/authorization for secondary employment)
Any impairment of official matters or conflict with official interests must be strictly avoided (e.g., the comparison of bids is conducted by an impartial, professionally qualified third party who is not also a spin-off founder; the procurement decision is made by a third party who is independent)
When conducting secondary employment, any impression that it is a university activity or institution must be avoided (in particular, no promotion of products, service offerings, or other services under the university’s brand)
The development of the software core (categorized by ownership and share of development) must be continuously documented.
Transparency Principle
Disclosure of duties, responsibilities and roles within the startup or during the formation of a company, as well as corporate shareholdings.
Documentation Principle
Written and complete documentation of all records and decisions (in particular, the distinction between secondary employment and official duties, as well as any license agreements and cooperation agreements regarding the use of infrastructure.
Equivalence Principle
Offers made to the university must align with standard market practices. Discounts should be avoided.
